i-Tail Corporation Public Company Limited (“i-Tail”) announced that its Extraordinary General Meeting of Shareholders No. 1/2026, held on 24 August 2026, approved a transaction to enhance the management of the company’s excess cash through lending to Thai Union Group Public Company Limited (“Thai Union”) of up to THB 6 billion. 93.7% of shareholders attending the meeting and entitled to vote voted in favor of the transaction, exceeding the threshold of not less than three-fourths under applicable regulations. Thai Union Group, as an interested shareholder, did not participate in the vote.

Under the approved terms, the facility includes safeguards designed to protect the interests of i-Tail and shareholders, including limits on the amount that can be lent, i-Tail’s ability to recall funds, and regular review of the recall option by disinterested directors.
